Terms of Service

Plain-English Summary: This tool helps you prepare AI compliance documentation. It is not a substitute for professional legal or regulatory advice. You are responsible for the accuracy of information you enter, and for your own compliance obligations.

1. Acceptance of Terms

By registering for or using the AI Compliance Assessment Tool ("the Service") operated by IntelliCoding ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

The Service is a structured, self-assessment tool that helps organisations evaluate their AI systems against leading regulatory frameworks including but not limited to the EU AI Act, ISO/IEC 42001, NIST AI RMF, Colorado AI Act, and New York AI Act. The Service generates scored reports and remediation guidance based on responses you provide.

3. Not Legal or Regulatory Advice

The Service and all outputs it produces — including scores, reports, flags, and remediation recommendations — are provided for informational and preparatory purposes only. They do not constitute:

Legal advice or legal opinions;
Regulatory determinations or certifications;
Formal audit findings under any standard (including ISO/IEC 42001);
Compliance guarantees of any kind.

You should engage qualified legal counsel and certified auditors before making compliance representations to regulators, customers, or other third parties.

4. Eligibility and Account Responsibilities

You must be at least 18 years old and authorised to act on behalf of any organisation for which you conduct an assessment. You are responsible for:

Maintaining the confidentiality of your account credentials;
All activity that occurs under your account;
Ensuring that information you enter is accurate and does not infringe the rights of third parties.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable laws;
Attempt to reverse-engineer, scrape, or systematically extract data from the Service;
Upload malicious code, harmful content, or personally identifiable information of third parties without their consent;
Misrepresent assessment results to regulators or third parties as independent certification.

6. Intellectual Property

All software, questionnaire content, scoring methodology, and report templates are the property of IntelliCoding and are protected by copyright. Assessment reports generated by you using your own data belong to you. You grant IntelliCoding a limited licence to process your data solely for the purpose of operating the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELLICODING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

9. Indemnification

You agree to indemnify and hold IntelliCoding and its officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email or by displaying a notice within the Service. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. On termination, all provisions of these Terms that by their nature should survive (including disclaimers, limitations of liability, and indemnification) shall survive.

12. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of New York.
